Welcome to Momo Pulse. These Terms and Conditions ("Terms") govern your access to and use of the Momo Pulse cloud communications platform, website, APIs, and related services (collectively, the "Services").
1. Acceptance of Terms
By registering for an account, accessing, or using our Services, you agree to be bound by these Terms and all applicable laws and regulations of the United Republic of Tanzania, including those set forth by the Tanzania Communications Regulatory Authority (TCRA). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Definitions
- "Momo Pulse", "We", "Us", or "Our": Refers to the provider of the Momo Pulse platform.
- "Tenant" or "Customer": The business entity or individual who subscribes to the Services.
- "User" or "Operator": An individual authorized by the Tenant to access the Momo Pulse dashboard.
- "End User": The final recipient of communications (calls, SMS, WhatsApp) sent via the Tenant's account.
3. Account Registration & Security
To use the Services, you must create a Tenant workspace. You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. Provision of Services
Momo Pulse provides a unified cloud communications suite, including:
- Cloud Calls: Inbound and outbound voice routing, browser-based softphone, and recording capabilities.
- WhatsApp Cloud API: Integration for text, media, and voice API workflows.
- Bulk SMS: High-throughput message delivery and campaign management.
- AI Agents: Configurable conversational AI with external tool orchestration.
- Visual IVR: Node-based call routing and flow design.
We reserve the right to modify, update, or deprecate features of the Services, provided we give reasonable notice for material changes that impact your operations.
5. Acceptable Use Policy (AUP)
You agree to use the Services strictly for lawful purposes. You shall not use Momo Pulse to:
- Transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable under Tanzanian law.
- Engage in spamming, phishing, or sending unsolicited bulk communications without explicit opt-in consent from End Users.
- Spoof Caller IDs or impersonate any person or entity to deceive recipients.
- Bypass, disable, or interfere with the security or integrity of the platform.
- Violate any regulations set by the TCRA or downstream telecom carrier policies.
Violation of this AUP may result in immediate suspension or termination of your account without refund.
6. Payment, Billing & Subscriptions
Fees for our services are billed based on your selected subscription plan (Starter, Growth, or Enterprise) and your usage (e.g., call minutes, SMS segments, WhatsApp conversations).
- Payment Methods: We support global payments via Mastercard and Visa. We also fully support local Tanzanian mobile money networks: M-Pesa, Tigo Pesa, Airtel Money, HaloPesa, T-Pesa, and Ezypesa.
- Taxes: All fees are exclusive of Value Added Tax (VAT) and other applicable taxes unless otherwise stated. Taxes will be added to your invoice as required by the Tanzania Revenue Authority (TRA).
- Prepaid Wallets: Certain usage-based services require maintaining a positive balance in your Momo Pulse wallet. Services may be paused if the wallet balance is depleted.
- Refunds: Subscription fees are generally non-refundable. Wallet balances may be refunded upon account closure, subject to a processing fee.
7. Intellectual Property
Momo Pulse retains all rights, title, and interest in and to the Services, including the platform software, UI/UX design, APIs, and documentation. You retain all rights to the Customer Data (contacts, call recordings, message content) you process through the platform. We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription term.
8. Data Privacy & Security
Your use of the Services is governed by our Privacy Policy. By using Momo Pulse, you agree to our data processing practices, which comply with the Tanzanian Personal Data Protection Act (PDPA). You are solely responsible for ensuring you have the necessary consent from End Users to process their data through our platform.
9. Service Level & Availability
We strive to provide highly reliable services and aim for 99.9% uptime. However, the Services are provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee uninterrupted access, as performance may be affected by downstream telecom carriers, internet service providers, or scheduled maintenance windows (which we will communicate in advance).
10. Limitation of Liability
To the maximum extent permitted by applicable law, Momo Pulse shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenues, data, or goodwill. In no event shall our aggregate liability exceed the total amount paid by you to Momo Pulse in the three (3) months preceding the event giving rise to the claim.
11. Termination
You may terminate your account at any time via the billing dashboard. We may suspend or terminate your access to the Services immediately if you breach these Terms, fail to pay outstanding invoices, or if required by law/regulatory authorities. Upon termination, you will lose access to the platform, and we will delete your data in accordance with our retention policies.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania. Any disputes arising out of or in connection with these Terms shall be resolved through amicable negotiation. If a resolution cannot be reached, the dispute shall be subject to the exclusive jurisdiction of the competent courts in Dar es Salaam, Tanzania.
